By accessing our website, using the RideKel app, or riding services operated by ProKel, you agree to these Terms & Conditions and our Privacy Policy. If you do not agree, please do not use the Services.
1. Acceptance of Terms
These Terms & Conditions ("Terms") form a binding agreement between you and ProKel Mobility ("ProKel," "we," "us," or "our"). They apply to the ProKel website, the RideKel rider application and web portal, and the transportation services we operate (collectively, the "Services").
2. Our Services
ProKel operates public and community transportation on behalf of cities, transit agencies, and institutional partners, and provides the RideKel technology platform for trip planning, booking, tracking, and payment. Service availability, routes, schedules, fares, and features are determined by the applicable program and its sponsoring agency and may change.
3. Eligibility
You must be able to form a binding contract to use certain features, and you agree to provide accurate information. Some services (for example, ADA paratransit) may have eligibility requirements set by the sponsoring agency. Accounts for minors must be created and managed by a parent or legal guardian where permitted.
4. Use of the Services
You agree to use the Services lawfully and not to:
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems;
- Misuse booking, tracking, or payment features, or submit false or fraudulent information;
- Reverse engineer, copy, or exploit any part of the RideKel platform except as permitted by law;
- Use the Services in a way that infringes the rights of others or violates applicable law.
5. Accounts & Registration
Some features require a RideKel account. You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or present a safety or security risk.
6. Fares, Bookings & Payments
Fares, fees, and any free-service programs are set by the applicable transit program or sponsoring agency. When payment is required, it is processed through third-party payment providers, and you agree to their terms in addition to ours. You are responsible for charges incurred through your account. Refunds, cancellations, and no-show policies follow the applicable program rules.
7. Rider Conduct & Safety
The safety of riders, operators, and the public is our priority. While using our services, you agree to follow operator instructions, posted rules, and applicable transit codes of conduct. We may refuse or discontinue service to protect safety, in accordance with applicable law and the policies of the sponsoring agency. Accessibility accommodations are provided consistent with ADA and program requirements.
8. Intellectual Property
The Services, including the ProKel and RideKel names, logos, software, text, graphics, and design, are owned by ProKel or its licensors and are protected by intellectual-property laws. Except as expressly permitted, you may not use, reproduce, or distribute our content or marks without prior written consent.
9. Third-Party Services
The Services may include or link to third-party content and services, such as regional transit data, mapping, and payment processing. We do not control and are not responsible for third-party services, and your use of them is governed by their own terms and policies.
10. Disclaimers
The Services are provided on an "as is" and "as available" basis. While we work to deliver reliable, on-time service, we do not warrant that the Services, schedules, arrival predictions, or app features will always be uninterrupted, error-free, or accurate. To the fullest extent permitted by law, we disclaim all warranties not expressly stated in these Terms.
11. Limitation of Liability
To the fullest extent permitted by applicable law, ProKel and its affiliates, and their respective officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services. Nothing in these Terms limits liability that cannot be limited under applicable law.
12. Indemnification
You agree to indemnify and hold ProKel harmless from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Services or violation of these Terms or applicable law, to the extent permitted by law.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Florida, unless otherwise required by law.
14. Changes to These Terms
We may update these Terms from time to time. We will post the revised version with a new "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
